The Directors listed below notified the Company on17 September 2008that, as a result of being grantedanaward under the DS SmithPerformanceShare Plan (the"Plan"),they have each acquiredaconditional right to receive the number of ordinary shares of 10p each of the Company ("Shares") listed below.
The awards were granted by reference to the closing middle market quotation of a Share on 16 September 2008 of133.5pence, and operate subject to the conditions set out in the rules of the Plan. They will normally vest, subject to the satisfaction of performance conditions, on the third anniversary of the date of grant, being 17September2011.
